Terms of Service

1. Acceptance of Terms

By downloading, installing, or using the Byaheroo mobile application ("the App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the App.

These Terms constitute a legally binding agreement between you and Byaheroo ("we," "us," or "our"). We reserve the right to update these Terms at any time, and your continued use of the App after any changes constitutes acceptance of the updated Terms.

2. Description of Service

Byaheroo is a mobile platform that facilitates the management of microfinance lending operations. The App provides tools for:

• Organizing and tracking loan portfolios
• Recording and managing loan repayment collections
• Real-time GPS tracking of field collectors
• Route optimization for collection visits
• KYC (Know Your Customer) verification workflows
• Multi-user collaboration within a lending organization (tenant)

Byaheroo is a software tool only. We do not issue loans, provide financial advice, or act as a financial institution. All lending decisions and activities remain the sole responsibility of the Financer.

3. User Accounts and Roles

Byaheroo operates on a multi-tenant, role-based model. Each user is assigned one of two roles:

Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account.

Tenant Invite Codes

Invite codes are valid for 7 days from issuance. Sharing invite codes with unauthorized individuals is prohibited and may result in account suspension.

4. Loan and Payment Terms

The following terms govern how loan and payment data is handled within Byaheroo:

• All payment records are immutable after creation. Payments cannot be edited or deleted.
• Loan status (active, overdue, completed) is calculated automatically based on recorded payments and due dates.
• Byaheroo provides rescheduling tools; however, the original payment history is always preserved.
• Financers are solely responsible for ensuring that loan terms comply with applicable Philippine lending laws and regulations, including the Lending Company Regulation Act of 2007.
• Byaheroo does not collect, hold, or transfer any funds. All monetary transactions occur outside the App.

5. Prohibited Activities

You agree not to use Byaheroo to:

• Violate any applicable local, national, or international laws or regulations
• Engage in predatory lending practices, harassment, or coercion of borrowers
• Input false, misleading, or fraudulent customer or payment information
• Attempt to access data belonging to other tenants or unauthorized users
• Reverse-engineer, decompile, or tamper with the application
• Use the platform to facilitate money laundering or other financial crimes
• Share your account credentials with unauthorized parties
• Attempt to circumvent role-based access controls or security measures

Violation of these prohibitions may result in immediate account suspension and referral to appropriate authorities.

6. Limitation of Liability

To the maximum extent permitted by applicable law, Byaheroo and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits, data, or business opportunities
• Damages arising from lending decisions made using the platform
• Service interruptions or data loss due to technical failures
• Unauthorized access to your account due to your failure to maintain security

Our total liability for any claims arising under these Terms shall not exceed the amount you paid for the App in the twelve (12) months preceding the claim.

The App is provided "as is" without warranties of any kind, either express or implied, including warranties of merchantability or fitness for a particular purpose.

7. Termination

We reserve the right to suspend or terminate your account at our sole discretion, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, third parties, or our business.

You may terminate your account at any time by contacting us at cmichaeljay@gmail.com. Upon termination, your right to use the App ceases immediately.

Tenant Financers should be aware that terminating a tenant account will affect all Collectors within that tenant. Data may be retained for legal and compliance purposes as outlined in our Privacy Policy.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to its conflict of law provisions.

Any disputes arising from or relating to these Terms or your use of Byaheroo shall be subject to the exclusive jurisdiction of the appropriate courts in the Philippines.

Relevant Philippine laws applicable to the use of this platform include:

• Republic Act No. 10173 — Data Privacy Act of 2012
• Republic Act No. 9474 — Lending Company Regulation Act of 2007
• Republic Act No. 8792 — Electronic Commerce Act of 2000
